Distributor Terms and Service Information

How to join our Distribution Network:

Before an initial order is placed with Tap Associates, Inc., a Distributor must first submit Credit References, a valid Resale Certificate and Distributor Agreement with an authorized signature.

The Distributor’s mere possession or receipt of a Price List, or these General Terms & Conditions of Sale, does not activate distributor privilege until the Authorization Form is signed and approved by a Tap Associates, Inc. Officer and a copy returned to The Distributor.

Orders:
All orders must total at least $25 (twenty-five US dollars) each in order to be eligible for acceptance by Tap Associates, Inc. In addition, ‘Special’ and ‘Non-Stocked’ products may require a minimum purchase quantity.

In all instances, the Buyer must present Tap Associates, Inc. with a fully authorized PO# online or Purchase Order documenting at least the following information related to the associated transaction:

• Our 4 digit Product number
• Product Description (style, number and size)
• Quantity
• Unit Price
• Complete Buyer “Bill to” information (Company Name, Mail to address, City, State, Zip code, Phone number, contact)
• Complete “Ship to” address (Company Name, Ship to address, City, State, Zip code, phone number, contact)
• E-mail address or Facsimile number for shipment notification and Order Confirmation

Product Shortages:
Tap Associates, Inc. will make reasonable efforts to fulfill orders; however, Tap Associates, Inc. shall not be held liable for delays in delivery due to product shortages, acts of nature, war, terrorism, regulatory or carrier issues.

Payment Terms:
Payment for Products purchased by Buyer from Tap Associates, Inc. shall be made as follows unless otherwise agree to Net 30 (thirty) days.  Accounts which exceed fifteen (15) days beyond established payment terms will be placed on credit hold and product will not ship until the account is within established payment terms. A service charge of 1 1/2 % per month is charged on all overdue accounts, which is an annual percentage rate of 18%. Buyer also agrees to reasonable attorney’s fees and other costs incurred at collection.

Option to Accelerate:
Tap Associates, Inc. shall have the right on written notice to Buyer to demand immediate payment of amounts due hereunder when Tap Associates, Inc. believes in good faith that the prospect of payment or performance by Buyer hereunder is impaired. The acceptance of Product by Buyer shall constitute an express representation that Buyer is not then insolvent within the meaning of Title 11, United States Code or any similar Federal or State law.

Taxes:
Any tax, duty, customs fees or any other fee in any nature imposed by any Federal, State or local governmental authority shall be paid by Buyer in addition to the price of the price quoted or invoiced. In the event Tap Associates, Inc. is required to prepay any such tax, Tap Associates, Inc. will issue a separate invoice for these charges.

M.A.P. Pricing (Minimum Advertised Price):
In order to protect the integrity of the distributor network, all Tap Associates, Inc. products are subject to M.A.P. pricing. Purchase of these items will be considered an agreement to adhere to M.A.P. pricing and this policy will be enforced.

M.A.P. Guidelines
M.A.P. policy covers all advertisements on the World Wide Web and print advertising. A copy of the M.A.P. for Tap Associates, Inc. products are provided on our web site and a copy enclosed with this agreement. Tap Associates, Inc.’s M.A.P. pricing does not establish maximum advertised pricing.   All distributors may offer any Tap Associates, Inc. products above M.A.P. price. Tap Associates, Inc. M.A.P. program does not allow for any product item to be an auction item on eBay Inc.^® or other online auction sites. The distribution of Tap Associates, Inc.’s product on eBay Inc.^® is a violation of this and all Company’s distribution agreements. The result of this violation will be the termination of The Distributor’s privileges.

Tap Associates, Inc. reserves the right to alter or suspend the M.A.P. at any time allowing for increase in pricing or to promote sales.  The alteration will be accompanied by a 15 day advance notice to all Distributors.

Intentional and /or repeated failure to abide by this policy will result in termination of the Distributor’s privileges.

Distributor Discount Structure
Tap Associates, Inc. offers a generous tiered discount structure to our distributors. The program consists of four discount levels based on the retail sale total of each order.

Shipments
All products shall be shipped and delivered FOB Tap Associates, Inc. (Mariposa, CA 95338). Tap Associates, Inc. will pre-pay freight (and charge buyer) adding a service fee of $3.95 for orders. Buyer may request ‘freight collect’ and provide a UPS and/or FedEx account number. Tap Associates, Inc. assumes no liability for damage, loss or delay when shipped ‘freight collect’.

In stock items ship same-day before 3:00pm (Pacific) Monday through Friday via UPS Ground.  Expedited orders (UPS 3 day select, 2nd day, Next Day Air) ship same day when the order is placed before 2:00pm (Pacific).  Federal Express FEDEX ships same day by 1:30PM (Pacific).

Shipping costs are determined by the shipment weight, origin zip code (95338) and destination zip code.  There is a nominal service fee of $3.95 added to Net/30 prepaid, FedEx and USPS shipments.  Orders may arrive in more than one package and/or on different dates. Depending on the type, quantity and weight of items in your order, we may pack and ship them in different packages to ensure they arrive on time and undamaged.  Tap Associates, Inc. reserves the right to make partial shipments unless clearly specified by the Buyer. Back ordered items will ship within 24 hours of product receipt. All items in a single order must be shipped to a single address. Tap Associates, Inc. does not ship to PO Box addresses.

Tap Associates, Inc. will not drop ship items purchased by credit card.  Items will be shipped to the Buyer’s company address only.  Tap Associates, Inc. will process and confirm all orders and offers tracking services when requested.

Order Cancellation
Standard items stocked by Tap Associates, Inc. may be canceled before shipment without addition costs. Non Standard, Special Order and Non Stocked items may not be canceled.

Return Policy
The Distributor must create their own return policy for direct sales with their customers. Tap Associates, Inc. does not have a return policy for refunds.

1. DAMAGED GOODS: Please contact our Distributor Services Coordinator to report any damaged goods immediately. Buyer must specify item, quantity involved, nature of damage, nature of packaging upon receipt, and the Tap Associates, Inc. Invoice number or Distributor Purchase Order number.
2. Product returns will not be accepted without prior approval by Tap Associates, Inc. Requests for a return authorization due to Tap Associates, Inc. order entry/shipping errors or distributor ordering errors should be directed to the Distributor Services Coordinator within fifteen (15) days of receipt of the items(s) in question.
   
3. All other request are to be directed to the General Manager.  All authorized shipments of returns must be received by Tap Associates, Inc. within thirty (30) days of the Return Authorization.
   
4. The following additional requirements shall apply when the error is not caused by Tap Associates, Inc.:
   • Eligiable Items returned in the original unopened package within 30 days from ship date will be credited at their invoiced price.
   • Items returned within 31-365 days of original shipment date will be credited at their invoiced prices less a 15% restocking fee.
   • No items may be returned after one (1) year.
   • No returns will be authorized, and credit will not be issued, for discontinued items, special production items, and Non-Stocked items.
   • Increased restocking charges will apply should Product condition require downgrading upon inspection (or if repacking be necessary)
5. Only Products in original FULL, UNMARRED and UNUSED packaging will be authorized for return (Exception: Product exhibiting manufacturing defects or shipment damage). Used items may not be returned for credit.
6. All Products returned are to be shipped freight prepaid, except items returned due to a Tap Associates, Inc. order entry/shipping error or Product manufacturing defect.
7. Tap Associates, Inc. does not accept any responsibility for damage to Products after they have been accepted by the Buyer or its agents.
8. Every effort will be made to assess requests to return goods in a just and equitable manner.
9. No returns will be accepted without prior authorization.
10. The return shipment tracking number should be retained as a record of the return. Tap Associates, Inc. will not assume responsibility for return items until we have received and signed for the package at our facility.
11. All sales of Tap Associates, Inc. products are final.

Adjustments
Tap Associates, Inc. must receive notification within fifteen (15) days of Invoice Date for any claim related to order entry, short shipment and/or damage. Credit will be issued at invoicedprices upon verification. No credit will be issued after fifteen (15) days of Invoice Date.

Distributor Channels
Distributors are prohibited from selling Tap Associates, Inc. line of products on eBay or any similar online auction site. This is required to maintain the integrity of the Distributor network. Violation of this policy will automatically revoke Distributor privileges and will immediately void the Authorized Distribution Agreement.

Warranties: Remedies
Tap Associates, Inc. warrants that the goods purchased are free from defects in workmanship or material. Tap Associates, Inc. shall replace goods which are defective in material or workmanship or credit Buyer the invoiced prices (at Tap Associates, Inc. option) if such goods are returned to Tap Associates, Inc. for examination. Tap Associates, Inc. does not guarantee any of its goods against wear, age and/or abuse.

TAP ASSOCIATES, INC. EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES EXCEPT AS SPECIFICALLY SET FORTH HEREIN, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OR WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE. In case of any breach of this Agreement, the non-breaching entity shall have the benefit of the remedies provided by the laws of the State governing the sale of goods, except that no such entity shall have the right to punitive, exemplary, multiplied or consequential damages, all of which are hereby irrevocably waived by all parties.

Marketing and Sales Support Materials
Tap Associates, Inc. provides brochures and sell sheets as requested by contacting our Distributor Services Coordinator.  These materials are also available for download in Adobe PDF format on our Product Literature Page.

Tap Associates, Inc. expressly prohibits any direct or indirect use, reference to, or other employment of its name, trademarks, or trade name exclusively licensed to Tap Associates, Inc., except as specified in this document or as expressly authorized by Tap Associates, Inc. in writing. All advertising and other promotional material will be submitted to Tap Associates, Inc. at least two weeks in advance and will only be used if Tap Associates, Inc. consents thereto, which consent shall not be unreasonably withheld.

Tap Associates, Inc. authorizes and requires Distributor’s use of the Tap Associates, Inc. insignia or lettering which will be on the products at the time of the delivery.  Distributors are not authorized to tamper, remove, add to, or change insignia, lettering or product markings for resale.  Tap Associates, Inc. authorizes the Distributor’s use of the legend set forth below. Tap Associates, Inc. shall submit to the Distributor in writing full particulars prior to any use of the authorized legends on promotion material or otherwise, and shall not proceed with such use unless and until Tap Associates, Inc.’s written approval have been received. Authorized legend shall be the following;

Tap Associates, Inc. reserves the right to reject any order or to refuse to ship Products to any Buyer for any reason, including, without limitation, a Buyer’s failure to pay previous invoices or Buyer’s insolvency or financial difficulties.
